1. General and Scope

1.1. These terms of use govern the usage of the services offered by Firmenweb between the provider and the respective user (hereinafter referred to as the “User”). All services offered by the provider on the websites mentioned at the beginning are provided exclusively based on these terms of use, unless explicitly agreed otherwise.

1.2. The provider reserves the right to change these terms of use at any time without stating reasons. Continued use of the portals, especially for registered content, is conditional on agreeing to the changed terms of use.

2. Use of Firmenweb Services

2.1. By using the Firmenweb Websites, the user enters into a usage contract with the provider for the utilization of Firmenweb's services.

2.2. Firmenweb is a digital business directory for various service portals. Firmenweb allows all users of the respective Firmenweb Websites to find address data and further information in each industry. The use of data obtained in this way is permitted only for private inquiry purposes. Any commercially unrelated use, especially for commercial information or as a tool for data collection, as well as any other commercial evaluation or usage, is prohibited. Any usage or processing of the retrieved data is otherwise only permissible under the strict conditions of applicable data protection law.

3. Rights and Obligations of the User

3.1 The user is obligated to refrain from the following actions on Firmenweb:

• Trying to translate, decompile, or disassemble the provider's software codes.
• Distributing or replicating protected works (e.g., performing arts, music, literature, software, etc.), making them available through links or other uses - whether for a fee or free of charge - unless there is legal permission or consent/approval from the copyright holder.
• Using programs, program functions, or similar technical mechanisms to enable account usage by bypassing the user interface, e.g., through scripts, robots, posting automation, etc.
• Conducting applications that lead to a change in the physical or logical structures of the networks used.
• Soliciting participation in so-called pyramid schemes, multilevel marketing, or comparable contests.
• Taking measures to manually or automatically hide advertising placed or presented on the Firmenweb Websites.

3.2. If the user violates the obligations under these terms of use or the applicable law, the provider reserves the right, without prejudice to other rights, to block access to these websites at any time if these terms of use are breached.

3.3. If the provider is held liable by third parties due to contractually or legally improper use of the services or contact details, the user indemnifies the provider from such claims and the resulting damages and costs, including necessary legal defense costs. In such cases, the provider is not obligated to finally check the validity and may comply with the request without consultation with the user.

4. Intellectual Property

All contents and services of Firmenweb are protected (e.g., by copyright, trademark, patent, or other rights) and may only be used in the form expressly authorized by the provider. In particular, the user is required to keep the signs used on Firmenweb Websites (names, brands, company symbols, etc.) unchanged.

5. Warranty and Liability of the Provider

5.1. Damage claims, regardless of the legal reason, are excluded within the bounds of legal permissibility, unless the provider is at fault due to intent or gross negligence or, in the case of slight negligence, for violating duties whose fulfillment enables the proper execution of the contract in the first place ("cardinal duties"). In the latter case, the liability is limited to contractual, foreseeable damage. The provider is fully liable for damage caused by the provider that results in loss of life, bodily injury, or health issues. Liability for damages arising despite a guarantee for the nature of the work and liability under the Product Liability Act remain unaffected.

5.2. The provider does not guarantee/assume liability for the uninterrupted availability of the Firmenweb Websites or for the services offered on the Firmenweb Websites. The provider's warranty/liability for the accuracy and completeness of the information provided on the Firmenweb Websites is fully excluded.

5.3. Unforeseeable events such as force majeure, strikes, governmental actions, failure of transmission means, or other disruptions not attributable to the provider relieve the provider from the performance obligation and warranty/liability. The provider will make all reasonable efforts to eliminate such disruptions as soon as possible. The user will support the provider in remedying any defects as far as possible and notify the provider of the occurring defect immediately and in a documented manner.

5.4. The provider does not guarantee/assume liability for the content correctness, updating, and suitability of the data to fulfill a purpose determined by the user or third parties.

6. Termination/ Discontinuation of Service

6.1. The usage relationship is entered into for an indefinite period.

6.2. Both the user and the provider may terminate the usage relationship at any time without stating reasons or may partially or entirely discontinue the provision of the offered services. As such, the user has no claim to the maintenance or continuation of the services offered by the provider.

6.3. In the event of termination and/or discontinuation of the Firmenweb services, all data will be deleted subject to any legal retention periods.

7. Data Protection

The provisions of the data protection statement accessible at firmenweb.de and on the respective Firmenweb Website apply.

8. Miscellaneous

8.1. All legal disputes arising from the usage relationship are subject to German law, excluding the provisions of international private law and the UN Sales Convention.

8.2. Nuremberg is the place of performance and exclusive jurisdiction for both parties. Regarding the jurisdiction, however, this applies only insofar as the customer is a merchant, legal entity of public law, or special fund under public law.
