Our team has helped form over 80 domestic and off-shore funds encompassing a wide variety of investment strategies. These strategies include long/short equity and derivative investments, funds of funds, sector concentrations (such as technology, telecommunications and precious metals), emerging global markets, private equity ventures, dividend yields, fixed income instruments and natural resources. The group has similarly helped sponsors and partners in the formation of venture capital funds. Our services begin with pre-formation advice and strategy, fund formation and document preparation, and extend to helping clients navigate the federal, state and foreign laws impacting private investment fund operations, such as state and federal securities laws, broker-dealer and investment adviser regulations, ERISA, tax, and the Investment Company Act of 1940. Important issues we advise on include adviser compensation, partner admission and withdrawal standards, investments by IRAs and ERISA plans, partnership allocations (including gains, losses and "hot" issues), and articulating in a clear fashion the fund's investment objectives and strategies and the unique risks associated with those strategies.
