Jacobs Entertainment is a developer, owner and operator of gaming and pari-mutuel wagering facilities throughout the United States, with properties located in Colorado, Louisiana, Nevada and Virginia. After giving effect to the transactions referenced above, Jacobs Entertainment will own and operate five land-based casinos, 16 video gaming truck plazas (three of which are leased) and a horse racing track with nine satellite-wagering facilities (five of which are leased). In addition, Jacobs Entertainment is party to an agreement that entitles it to a portion of the gaming revenue from an additional truck plaza video gaming facility. Jacobs Entertainment's business and financial performance are subject to a number of risks and uncertainties that might adversely affect its operating results in the future in a material way: intensity of competition, its ability to meet debt obligations, regulatory compliance, taxation levels, effects of national and regional economic and market conditions, labor and marketing costs, success of its acquisition plans and the successful integration of its operations.
