Capstone Partners, L.C. ("Capstone") was founded and operates on a simple guiding philosophy, which is to deliver expert investment banking and value added corporate finance services to middle market companies seeking to tap either the private or public capital markets. In today's business climate, many small, medium and rapidly growing companies do not have the management talent and expertise to effectively locate much needed capital. Capstone Partners' principals spend considerable time and energy in delivering professional investment banking services, market access and access to debt and equity investment capital in order to take their corporate clients to the next level of development. Capstone Partners, L.C. is an NASD-member broker-dealer investment banking boutique, located in Atlanta, Georgia, with a non-branch office in South Florida. We are a specialized investment banking firm that provides advisory and financing services to public and private businesses, primarily in the "middle market" which we define as profitable private or publicly-held companies with a market capitalization between $10.0 million to $50.0 million dollars. Capstone is a registered broker-dealer and NASD/SIPC member. Capstone Partners understands the time sensitivity of corporate finance and is able to respond quickly and tenaciously to address client driven opportunities. The Capstone approach creates corporate finance transactions where both business owners and investors mutually benefit. We have the knowledge, experience and relationships to match buyers and sellers, as well as to match the appropriate financing and capitalization structure to each unique client situation. Capstone's expertise includes: Mergers and acquisitions advisory services Private placements SEC guidance and compliance and IPO services Capital restructuring The methodology applied by Capstone reflects substantial expertise and experience in all areas of corporate finance, including mergers and acquisitions, due diligence and market pricing, specialized financings, deal structuring, and the design and implementation of alternative exit strategies. Exit strategies for business owners and investors often include the sale of the business through a full or limited auction process, a debt re-capitalization based upon debt repayment capability, a private-placement of debt and/or equity, stock sales through IPO's, and/or the use of ESOP's, which fund the purchase of corporate equity with pre-tax income. Capstone is also an active member-participant of other investment banking associations that include a multitude of other NASD-member broker dealers and investment banking firms. Our firm may be boutique in nature, but we often utilize the potential of over 140 additional broker dealer firms that are members of the National Investment Banking Association. If the utilization of such associations becomes necessary, Capstone introduces, enables and facilitates client contact with our broker-dealer network in order to complete financings much larger and on a timely basis than we otherwise would be able to complete through our individual efforts. As a participating member of NIBA, we have strong links to more NASD-member firms that raise capital by syndicating and jointly offering private placement and public offering products. In the aggregate, our NIBA member broker dealer network includes more than 11,000 registered representatives in more than 1,300 branch offices from coast to coast. As a group, NIBA members have participated in more than 700 securities offerings during the past 26 quarters ending March 31, 2004. NIBA members, as an association, raised over $6.5 billion during this time. We are proud to be a part of a select group that has devoted its energies to assisting in the development of young emerging growth and middle market companies in the United States, a segment of the economic engine in the U.S. that has a huge economic impact but is typically under served by the investment banking community. We know there are many so-called "full service investment banking" firms that purport to offer services and investment products needed by emerging growth and middle market companies hungry for investment capital. Almost without exception, our corporate clients have already encountered several bad experiences with firms claiming to have certain capabilities but delivering very little value added service. Capstone has one overriding philosophical principal, which is "only promise what you believe in good faith you can deliver and don't promise to deliver that which you can not". It is our belief that this principal separates our firm from some of the "bad experiences" many of our existing corporate clients have had.
