Stone Pine Accounting Services LLC

We are pleased to present Stone Pine Accounting Services, LLC ("Stone Pine Accounting" or the "Firm"), including our fund administration capabilities and other CPA Services. Stone Pine Accounting is a certified public accounting firm, consisting of an experienced group of dedicated accounting and investor services professionals, based in Denver, Colorado. We specialize in providing fund administration services to private equity partnerships and other investment funds. As a certified public accounting firm, we also provide accounting and tax services to our other non-fund clients, which consist of a diversified array of small businesses and individuals. The Firm is owned and managed by Donald R. Jackson, a Certified Public Accountant, who has over 30 years of accounting and tax experience with Arthur Andersen (1972-1986), Shearson Lehman Hutton Inc. and its predecessor, E.F. Hutton & Company, Inc. (1987-1988), PaineWebber Inc. (1989 to 1993) and Stone Pine Accounting and its predecessor, Stone Pine Capital, LLC (1994-present). We currently provide accounting, tax, investor services and other administrative services to fifteen investment funds. In the aggregate, these fund clients have over 500 institutional and individual investors, with approximately $1.75 billion of committed investment capital. Our responsibilities for certain of these fund clients include overseeing and monitoring other service providers, such as custodians, transfer agents and administrators. From 1994 to 2001, we provided services to two full SEC reporting entities, Fiduciary Capital Partners, L.P. and Fiduciary Capital Pension Partners, L.P. (the "Fiduciary Funds"), and a registered investment advisor, FCM Fiduciary Capital Management Company. The Fiduciary Funds were liquidated as of December 31, 2001 and the Firm served as the trustee of two liquidating trusts established in connection with their liquidations.
